Attorney/Contracts Manager/Paralegal, NY

Summary Description:
LinkShare is looking for an attorney or experienced contracts manager/paralegal to focus on commercial and sales transactions. The part-time candidate's primary responsibilities will include negotiating, drafting, and analyzing a wide variety of sales, strategic alliance, development and technology agreements. Work independently but collaboratively in a collegial team environment within a small fast-paced legal department.
 
Responsibilities:

• Respond promptly to legal requests from sales, lead generation, search management, marketing, and other business clients
• Negotiate agreements that comply with company policies and risk tolerance
• Advise senior management on recommended courses of action and legal risks
• Summarize and communicate legal concepts for use by business people
• Review, draft and negotiate advertising services agreements, sales contracts, intellectual property agreements and other agreements
• Support the continuous improvement of standard form agreements and legal processes
• Special projects as requested
  

Requirements:

• Excellent academic credentials
• 4+ years experiences negotiating commercial agreements
• In-depth experience in contract law, with broad transactional background in technology-related agreements
  
• Experience advising clients on and structuring complex commercial transactions, including sales and services contracts
• Extensive background in drafting and negotiating services agreements, sales contracts, licenses/intellectual property and other agreements
• Excellent business judgment, strategic thinking
  
• Hard working, well organized and able to manage numerous projects simultaneously under deadline pressure
• Excellent interpersonal skills, dynamic and highly team-oriented
• Flexibility and willingness to work on a broad variety of legal matters
• Superior writing and oral communication skills
• Experience in Internet, high technology, and advertising agreements preferred
• Sense of humor and commitment to professionalism and collegiality are required, no exceptions
  

Contracts managers/paralegal candidates and junior attorneys with solid commercial contracts law experience will be considered.
